Commercial API Licence (v1.0)

1. Purpose of Access
This Commercial API Licence (“Licence”) governs access to emissions data and related dataset content made available by Mycelium Network Ltd (“Mycelium”) via API, CSV, or other formats for use within commercial products, services, and operational systems.
By accessing or using the data, you (“the User”) agree to the terms of this Licence.
2. Permitted Use
2.1. Subject to this Licence and any agreed commercial scope, Mycelium grants the User a limited, non-exclusive, non-transferable licence to access and use the data for:
a. internal tools, systems, and workflows;
b. commercial platforms, products, or services;
c. decision-making, analytics, reporting, and client-facing or operational use.
3. Commercial Scope
3.1. Usage limits, pricing, access levels, and any approved commercial scope may be defined by Mycelium in writing, including by order form, plan description, pricing schedule, or other agreed commercial terms.
3.2. The User’s right to use the data is limited to the scope for which access has been granted and paid.
4. Restrictions on Use
4.1. The User must not:
a. resell, redistribute, sublicense, or otherwise make raw data available to third parties except where expressly permitted by Mycelium in writing;
b. expose the API directly to unauthorised third parties;
c. use the data beyond the agreed commercial scope;
d. misrepresent the source, accuracy, ownership, or status of the data.
5. API Usage and Payment
5.1. Access is subject to usage limits, rate limits, technical controls, and usage policies set by Mycelium from time to time.
5.2. Mycelium may modify endpoints, formats, access methods, and technical requirements.
5.3. Commercial use is subject to agreed pricing and payment terms.
5.4. Failure to pay amounts due may result in suspension or termination of access.
6. User Responsibilities
6.1. The User is responsible for:
a. independently validating the data before use;
b. ensuring compliance with applicable laws and regulations;
c. maintaining the confidentiality of API credentials.
6.2. Any errors or inaccuracies identified in the data should be reported to Mycelium.
7. No Warranty
7.1. The data and API are provided “as is” and “as available”.
7.2. To the fullest extent permitted by law, Mycelium makes no representations, warranties, or guarantees of any kind, whether express or implied, including as to accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the fullest extent permitted by law, Mycelium shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the use of, or inability to use, the data or API, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, or business interruption.
9. Term and Termination
9.1. This Licence takes effect on the date the User first accesses or uses the data.
9.2. Mycelium may suspend or terminate access immediately where:
a. the User breaches this Licence;
b. the User exceeds the agreed scope or usage limits;
c. payment is overdue;
d. Mycelium reasonably needs to protect the security, integrity, or availability of the data or API.
9.3. Upon termination, the User must immediately cease use of the data and delete any stored copies unless otherwise agreed by Mycelium in writing.
10. General
10.1. This Licence does not grant the User any ownership rights in the data, API, or any related intellectual property.
10.2. This Licence constitutes the entire agreement between Mycelium and the User in relation to commercial access, except to the extent supplemented by agreed written commercial terms.
10.3. This Licence is governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
